Role Description

The role serves as a primary commercial legal advisor to Equity Group Holdings Plc and its subsidiaries. Reports to the Group Head of Legal – Commercial.

You are expected to support the company strategy by being involved in the formulation, review and implementation of Legal Affairs Department Strategy and action plans. This role will require that you ensure that there are frameworks aligned to the law and company strategy to address partnerships, contracting, property and value stream management, intellectual property registration and safeguard.

You are expected to oversee negotiation, drafting and review of the Group’s commercial contracts in addition to advising and supporting subsidiaries on commercial legal issues within a matrix framework. You will also be expected to work closely with other members of the Group Legal Function to provide general legal guidance and advice to the organization.

Responsibilities

  • Developing and implementing strategies, systems and policies for sections and engaging relevant stakeholders in embracing the strategies.
  • Conducting regular and ad hoc legal risk reviews on contracts, engagements and the associated performance contracts;
  • Managing, drafting, negotiating, and reviewing various commercial contracts.
  • Providing legal advisory, support, and opinions to the Group Procurement team.
  • Reviewing various internal policies and procedures, regulations, and other legal documents.
  • Providing legal strategy in response to any claims, disputes and active or threatened litigation.
  • Advising the business on any new or proposed laws, regulations, policies, and relevant trends affecting the organization.
  • Keeping a record of all legal documents and proceedings for the company.
  • Providing advisory services on any strategic transactions that the organization may undertake including mergers and acquisitions.
  • Communicating with and managing external parties including regulators, external counsel, clients, stakeholders etc. as and when required.
  • Anticipating issues and evaluating risks and opportunities for the organization in the evolving business environment.
  • Preserving and maintaining accurate and systemized legal records.
  • Performing any other duties as may be assigned from time to time.

Qualifications

  • Bachelor of Laws Degree from any recognized University.
  • Post Graduate Diploma in Law from Kenya School of Law.
  • 8-10 years legal experience, at least five (5) of which should be post qualification in a large law firm in the practice of commercial law or in a busy corporate Organization.
  • Experience in setting up legal frameworks and contracts; contracts; memorandum of understanding; mergers and acquisitions contracts; intellectual property transactions and registrations and cross company commercial agreements, etc.
  • Qualified as an Advocate in Kenya.
  • A Master’s degree will be an added advantage.
